SidiPortal LLC — Intellectual Property Notice & Policy

The Portal, including its source code, object code, software architecture, user interface (UI), user experience (UX) designs, graphical layouts, interactive timeline sequencing, automated milestone calculators, document organization logic, checklist schemas, task dependencies, report templates, and glossary databases (collectively, the "Company IP"), are the proprietary intellectual property of SidiPortal LLC or its licensors, protected by United States and international copyright, trademark, trade secret, and unfair competition laws.

Proprietary Process Protection: You acknowledge that the operational workflows, timeline structures, and transaction coordination methods embedded within the Portal represent proprietary know-how and trade secrets of SidiPortal LLC.

Restrictions on Use: Except for the limited, non-exclusive access granted under your account, you do not acquire any ownership interest, license, or right in Company IP. You shall not, directly or indirectly:

• Copy, modify, adapt, translate, or create derivative works of the Portal, its workflows, templates, or timelines;
• Reverse engineer, decompile, disassemble, or attempt to extract the source code or underlying transaction coordination algorithms;
• Frame, mirror, scrape, crawl, harvest, or extract data, layouts, or workflows from the Portal using automated bots or manual processes;
• Use any Company IP, workflow sequences, report formats, or Portal outputs to train, fine-tune, test, develop, or market any competing real estate software platform, transaction tool, or artificial intelligence/machine learning model.

SidiPortal LLC Marks: "SIDI Portal," the SIDI Portal logo, and related software brand marks, service names, and taglines are trademarks and service marks of SidiPortal LLC.

Charles Sidi PLLC Marks: The personal name, likeness, and brand marks associated with "Charles Sidi" are the exclusive proprietary property of Charles Sidi PLLC and are utilized by SidiPortal LLC under express license. No right or license to use such marks is granted to any User or Subscriber.

Third-Party Marks & Brokerage Affiliations

All third-party trademarks, service marks, trade names, logos, and trade dress appearing within the Portal, including, without limitation, those of employing real estate brokerages, franchise networks, Multiple Listing Services (MLS), professional REALTOR® associations, and third-party service providers or vendors, are the exclusive property of their respective owners.

SidiPortal LLC is an independent technology provider and is not a real estate brokerage, nor is it owned, operated, sponsored, endorsed, or affiliated with any real estate brokerage or franchise network.

Any display of an employing brokerage's name, logo, or branding within the Portal, transaction communications, or generated client documents is strictly for the purpose of:

1. Accurately and truthfully identifying an individual real estate licensee's employing brokerage affiliation as required by applicable state real estate licensing laws and regulations; or
2. Presenting an authorized subscriber's customized workspace branding.

Each real estate licensee and workspace administrator represents and warrants that they are duly licensed, currently affiliated with their designated brokerage, and authorized under their employing broker's rules and policies to display such name and branding.

Nothing contained within the Portal grants SidiPortal LLC, or any user of the Portal, any ownership, license, partnership, agency, franchise, or intellectual property rights in or to any employing brokerage's brand or mark beyond the descriptive, nominative identification necessary to satisfy regulatory compliance and user identification.

Limited License to Display Subscriber Marks: Real estate agents, teams, brokerages, and transaction coordinators ("Subscribers") who upload trade names, logos, agent headshots, brand colors, and marketing collateral ("Subscriber Marks") grant SidiPortal LLC a limited, revocable, non-exclusive, royalty-free license to display, host, and reproduce such marks solely within the Subscriber's designated workspaces and client-facing pages to identify the professional representation of that specific transaction.

Mandatory ADRE / Regulatory License Display: Subscribers represent and warrant that they, and their brokerage of record, hold active, valid real estate licenses in good standing with the Arizona Department of Real Estate (ADRE) or their respective state licensing jurisdiction. Subscribers must prominently display their brokerage name and active license number on each public-facing or client-facing workspace landing page as required by ADRE advertising regulations (A.A.C. R4-28-502).

User Ownership: As between you and SidiPortal LLC, you retain all right, title, and interest in and to the contracts, inspection reports, loan documents, repair addenda, notes, photographs, and records you upload to the Portal ("User Content").

Grant of Operational License: You hereby grant SidiPortal LLC a non-exclusive, worldwide, fully paid, royalty-free, and irrevocable (for the operational duration of your transaction and the applicable post-closing retention schedule) license to host, store, cache, reproduce, transmit, reformat, and display your User Content solely to:

• Operate, maintain, and provide the Portal and its transaction coordination features;
• Transmit and display documents and notifications to authorized transaction participants designated by you or your Subscriber;
• Detect and prevent security incidents, system abuses, unauthorized access, or wire fraud; and
• Comply with applicable law, subpoenas, or judicial orders.

No Model Training: User Content, uploaded contracts, and transaction files shall NOT be used to train, retrain, or improve public or commercial third-party artificial intelligence models.

Active Workflow Tool Only: The Portal is an active workflow and communication tool, not an electronic statutory archive or document repository. SidiPortal LLC has no obligation under state real estate licensing statutes (including A.R.S. § 32-2151.01) to preserve transaction files for brokers or clients.

30-Day Purge Window: All User Content, transaction records, documents, and workspace data are scheduled for permanent deletion and archiving thirty (30) days after a transaction is marked closed, inactive, or terminated in the Portal. Subscribers and Clients are solely responsible for downloading, backing up, and independently retaining all required files prior to the expiration of this 30-day period.

SidiPortal LLC respects the intellectual property rights of others and complies with the safe harbor provisions of the Digital Millennium Copyright Act ("DMCA") (17 U.S.C. § 512).

Reporting Infringement (Takedown Notice): If you believe that your copyrighted work has been uploaded, displayed, or shared on the Portal without authorization, submit a written notice containing:

• A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
• Identification of the copyrighted work claimed to have been infringed (or a representative list);
• Identification of the material claimed to be infringing, with information reasonably sufficient to permit us to locate it within the Portal;
• Your contact information (address, telephone number, and email address);
• A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
• A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner.

Counter-Notification and Repeat Infringers: If material you posted is removed pursuant to a DMCA notice and you believe it was removed by mistake or misidentification, you may submit a written counter-notice to our Designated Agent meeting statutory requirements. SidiPortal LLC reserves the right to terminate the accounts of repeat infringers.

If you submit comments, ideas, suggestions, feature requests, or documentation improvements regarding the Portal ("Feedback"), you grant SidiPortal LLC an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use, commercialize, exploit, and incorporate such Feedback into our products and services without compensation or attribution. Providing Feedback does not grant us ownership of your underlying proprietary real estate transaction content or confidential contracts.
