These Terms & Conditions (the “Terms”) form a binding agreement between you (“you,” “User,” or “Client”) and SidiPortal LLC (“we,” “us,” or “Company”) governing your access to and use of the SIDI Portal client transaction portal, including all pages, features, timelines, documents, messages, notifications, and related services (collectively, the “Portal”). By checking the acceptance box, creating an account, or otherwise accessing the Portal, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not create an account and do not use the Portal.
Beta version / pilot program
The Portal is currently offered as a BETA version 1.1 pilot release. Features, timelines, notifications, branding, and integrations are actively being tested and may change, be interrupted, or be removed without notice. Data, documents, and configurations entered during the beta may be modified or reset as part of ongoing development.
By using the Portal during the beta period, you acknowledge that it is provided for testing and evaluation purposes, that errors and downtime may occur, and that SidiPortal LLC has no obligation to continue offering the beta or any particular feature. You agree to provide feedback and report issues when practical, and you release SidiPortal LLC from claims related to beta functionality, data loss, or service interruptions to the fullest extent permitted by law.
1. Eligibility and account access
The Portal is a private, invitation-only tool provided as a convenience to clients and authorized personnel of SidiPortal LLC and of independent real estate agents who operate their own workspaces on the Portal (“Participating Agents”). Accounts may be created only with a valid access code issued by us or by a Participating Agent. You must be at least 18 years of age and legally capable of entering into a binding contract.
Participating Agents must hold a current, active real estate license issued by the Arizona Department of Real Estate (“ADRE”) and must maintain that license in good standing for as long as they operate a workspace on the Portal. Each Participating Agent is required to display their ADRE license number clearly and conspicuously on their public landing page and homepage.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access or suspected compromise. We may suspend, restrict, or terminate any account at any time, with or without notice, for any reason, including inactivity, suspected misuse, the conclusion of your transaction, or a Participating Agent’s failure to maintain or display a valid ADRE license.
2. Informational purposes only; no professional advice
All content in the Portal — including timelines, milestones, deadlines, checklists, action items, calculations, estimates, net-proceeds or commission worksheets, reports, market or activity data, and glossary entries — is provided for general informational and organizational convenience only. It is not legal, tax, accounting, appraisal, inspection, lending, insurance, engineering, or investment advice, and it is not a substitute for reading and relying on your fully executed contract and its addenda.
Deadlines and dates shown in the Portal are automated estimates derived from the information entered and may be incomplete, delayed, or incorrect. The executed purchase contract, listing agreement, and any written amendments — not the Portal — control all rights, obligations, and deadlines. You are solely responsible for independently verifying every date, figure, and document with your agent, attorney, lender, escrow/title company, and other licensed professionals before acting or failing to act.
3. No guarantee of accuracy, availability, or delivery
The Portal is provided on an “AS IS” and “AS AVAILABLE” basis. We do not warrant that the Portal will be uninterrupted, timely, secure, error-free, or that any data, file, notification, email, or text message will be generated, transmitted, delivered, or received. Email and SMS notifications depend on third-party carriers and providers outside our control and must never be relied upon as the sole means of receiving time-sensitive information.
You agree that missed, delayed, filtered, or undelivered notifications do not extend, waive, toll, or otherwise alter any contractual deadline, and that we bear no responsibility for any consequence arising from them.
4. Documents and user content
The Portal may allow documents, photographs, notes, feedback, and other materials (“User Content”) to be uploaded, stored, viewed, or downloaded. You represent and warrant that you have the right to upload and share all User Content you submit and that it does not infringe any third-party right or violate any law.
Do not upload Social Security numbers, full bank or routing numbers, credit or debit card numbers, government identification images, medical records, or other highly sensitive personal information unless we expressly request it through a secure channel. You upload at your own risk.
Documents in the Portal are provided for convenience only and may be drafts, partial, superseded, or unexecuted. The Portal is not a system of record, is not a document retention or escrow service, and is not a substitute for your own recordkeeping. We may modify, archive, or permanently delete any User Content or account at any time, including after your transaction closes or terminates, without notice and without liability. You are solely responsible for downloading and retaining your own copies of anything you need.
You grant us a non-exclusive, royalty-free license to host, store, process, display, and transmit your User Content solely to operate the Portal and perform services in connection with your transaction.
5. Wire fraud and communications warning
Real estate transactions are targeted by wire fraud and phishing schemes. We will never send wiring instructions or request funds through the Portal, email, or text message. Never rely on wiring instructions received electronically. Always call your escrow or title officer at an independently verified phone number before transmitting any funds. We are not responsible for losses resulting from fraudulent, spoofed, altered, or intercepted communications.
6. Data security; not responsible for breach of data
We use commercially reasonable administrative and technical safeguards, including encrypted transport, access controls, and role-based permissions. However, no method of electronic transmission or storage is completely secure, and we do not and cannot guarantee the security, confidentiality, or integrity of any information transmitted to or stored in the Portal.
To the fullest extent permitted by law, you acknowledge and agree that CHARLES SIDI PLLC, its members, agents, employees, brokers, contractors, and service providers are not responsible or liable for any breach of data, unauthorized access, hacking, interception, ransomware, malware, phishing, credential theft, service-provider compromise, data loss, corruption, or disclosure of any information, document, or User Content, whether occurring on our systems or on the systems of any third-party hosting, database, storage, email, or messaging provider. You assume all risk associated with transmitting and storing information through the Portal.
The Portal relies on third-party infrastructure and service providers. We are not liable for the acts, omissions, outages, or security failures of those providers.
7. Acceptable use
You agree not to, and not to permit any other person to:
- share your credentials or allow anyone else to access your account;
- access, attempt to access, copy, or disclose data belonging to any other client or transaction;
- scrape, crawl, reverse engineer, decompile, probe, penetration test, or interfere with the Portal or its security features;
- upload malicious code or use the Portal for any unlawful, harassing, discriminatory, or fraudulent purpose;
- use the Portal, its data, or its outputs to build, train, or market a competing product or service.
8. Intellectual property
The Portal, its software, design, layout, text, templates, report formats, workflows, and all related intellectual property are owned by SidiPortal LLC or its licensors and are protected by law. No license or ownership interest is transferred to you. See our Intellectual Property notice for details.
9. Third-party services and links
The Portal may reference or integrate third-party services, data sources, or links. We do not control, endorse, or assume responsibility for any third-party content, availability, accuracy, privacy practices, or security.
10. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE PORTAL CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SidiPortal LLC AND ITS MEMBERS, AGENTS, EMPLOYEES, BROKERS, AFFILIATED BROKERAGE, CONTRACTORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST OPPORTUNITY, LOST OR DELAYED TRANSACTION, MISSED DEADLINE, LOST EARNEST MONEY, LOSS OF DATA, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO THE PORTAL, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PORTAL SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY SEPARATELY FROM, AND DO NOT LIMIT OR MODIFY, ANY OBLIGATION OWED UNDER A SEPARATE SIGNED BROKERAGE OR REPRESENTATION AGREEMENT.
12. Indemnification
You agree to defend, indemnify, and hold harmless SidiPortal LLC and its members, agents, employees, brokers, and contractors from and against any claims, damages, losses, liabilities, judgments, penalties, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Portal, your User Content, your breach of these Terms, or your violation of any law or third-party right. If you are a Participating Agent, this obligation extends to claims arising from your workspace, your account data, your clients and their accounts, your documents and communications, and any invitation or access code you issue.
13. Electronic communications and consent
You consent to receive notices, disclosures, and communications electronically through the Portal, email, and — if you provided a mobile number and opted in — text message. Message frequency varies; message and data rates may apply. Reply STOP to unsubscribe from texts or HELP for assistance. Withdrawing consent to electronic communications may prevent you from using the Portal.
14. Privacy
Your use of the Portal is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
15. Fair housing and equal opportunity
We comply with the Fair Housing Act and all applicable federal, state, and local fair housing laws. The Portal must never be used to discriminate on the basis of race, color, religion, sex, familial status, national origin, disability, or any other protected class.
16. Changes to the Portal and these Terms
We may modify, suspend, or discontinue any part of the Portal at any time. We may update these Terms by posting a revised version with a new version date. Your continued use after posting constitutes acceptance. Material changes may require a renewed acceptance at your next sign-in.
17. Governing law and dispute resolution
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Any dispute arising out of or relating to the Portal shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction and venue there. You agree that any claim must be brought within one (1) year after it arises, and you waive any right to participate in a class or representative action.
18. Independent agents and white-label workspaces
Participating Agents operate their own private, separately branded workspaces within the Portal. Each Participating Agent is an independent licensee and is solely responsible for their own workspace, including all transactions, clients, invitations, access codes, account information, documents, dates, timelines, communications, branding, and User Content that they or their clients create, upload, or store.
By operating a workspace, each Participating Agent represents and warrants that they hold a current, active real estate license issued by ADRE, that the license is in good standing, and that their ADRE license number is clearly and conspicuously displayed on their public landing page and homepage. SidiPortal LLC may suspend, restrict, or terminate any workspace that fails to meet this requirement, without liability to the Participating Agent or any client.
SidiPortal LLC provides the Portal as a software tool only. We are not a party to, and have no involvement in, any transaction managed by a Participating Agent. We do not supervise, review, verify, monitor, or endorse any Participating Agent’s data, documents, timelines, advice, or communications, and we do not access their workspace content in the ordinary course.
Any claim, loss, or dispute arising out of a Participating Agent’s use of the Portal — including errors in dates or documents, missed deadlines, lost or corrupted data, unauthorized access, or disclosure of account information or documents — is solely between you and that Participating Agent and their brokerage. To the fullest extent permitted by law, SidiPortal LLC and its members, managers, employees, and contractors shall have no liability whatsoever for the acts, omissions, accounts, data, documents, or content of any Participating Agent or their clients, and you agree to hold SidiPortal LLC harmless from all such claims.
The display of a Participating Agent’s name, logo, license information, ADRE license number, or website within their workspace does not create any agency, partnership, joint venture, or employment relationship between that agent and CHARLES SIDI PLLC.
19. Miscellaneous
If any provision is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy and Intellectual Property notice, constitute the entire agreement regarding the Portal. You may not assign these Terms; we may assign them freely. Sections 2 through 12 and 18 survive termination.
